These Terms of Use (“Terms”) govern your access to and use of the websites, platforms, software, and services (collectively, the “Services”) provided by SimplSolutions, LLC(“SimplSolutions,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms.

SimplSolutions provides AI-driven software and, in some cases, managed services. We do not provide legal, financial, medical, insurance, or compliance advice. You remain solely responsible for decisions made using the Services.

2. Eligibility

You must be at least 18 years old and have the authority to bind the entity you represent to use the Services.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of credentials
  • All activity occurring under your account
  • Ensuring information you provide is accurate and lawful

We are not liable for unauthorized access resulting from your failure to secure your account.

4. Acceptable Use

You agree not to:

  • Use the Services for unlawful, deceptive, or harmful purposes
  • Upload or transmit malicious code or infringing content
  • Attempt to bypass security, access controls, or usage limits
  • Use the Services in a way that violates applicable laws or regulations

5. Client Content and Data

  • You retain ownership of all data and content you provide (“Client Data”).
  • You grant SimplSolutions a limited license to process Client Data solely to provide the Services.
  • Client Data is not sold, cross-trained, or reused across clients.

6. Intellectual Property

All software, systems, documentation, and materials provided by SimplSolutions are owned by SimplSolutions or its licensors and are protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.

7. No Guarantees

The Services are provided “as is” and “as available”. We make no warranties or guarantees regarding performance, outcomes, accuracy, availability, or fitness for a particular purpose.

8. Third-Party Services

The Services may integrate with third-party platforms. SimplSolutions is not responsible for third-party services, content, or failures.

9. Confidentiality

Each party agrees to protect the other party’s non-public, confidential information and to use it only as necessary to perform under these Terms.

10. Limitation of Liability

To the maximum extent permitted by law, SimplSolutions will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business interruption.

11. Indemnification

You agree to indemnify and hold harmless SimplSolutions from any claims, damages, liabilities, and expenses arising out of your use of the Services or violation of these Terms.

12. Suspension and Termination

We may suspend or terminate access to the Services at any time if you violate these Terms or use the Services in a way that creates legal, security, or operational risk.

13. Governing Law

These Terms are governed by the laws of the State of New Hampshire, without regard to conflict-of-law principles.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
